1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and United Apps ("we," "our," or "us") governing your use of the Vendor Enhance application (the "App").

By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

These Terms supplement and incorporate by reference:

  • Shopify's Terms of Service

  • Shopify's API Terms of Use

  • Our Privacy Policy (available below)

 


 

2. Description of Service

Vendor Enhance is a Shopify app that enables merchants to:

  • Enrich vendor data with logos, descriptions, and additional information

  • Display vendor information on storefront product and collection pages

  • Preserve vendor data even when no products are assigned to a vendor

  • Import and export vendor data via CSV

  • Manage vendor display settings and per-product opt-outs

The App stores data as metafields within your Shopify store and provides admin and theme extensions for management and display.

 


 

3. Eligibility

To use Vendor Enhance, you must:

  • Have an active Shopify store (any plan)

  • Be at least 18 years old (or the age of majority in your jurisdiction)

  • Have the authority to bind your business to these Terms

  • Comply with all applicable laws and Shopify's policies

 


 

4. Account and Installation

4.1 Installation

You install the App through the Shopify App Store. Installation requires granting the App specific permissions (scopes) to access your store data, including:

  • Read and write products (to associate vendors)

  • Read and write metafields (to store vendor data)

  • Read shop information (for billing and configuration)

4.2 Account Security

You are responsible for:

  • Maintaining the security of your Shopify account

  • All activities that occur under your account

  • Notifying us immediately of any unauthorized use

4.3 One Installation Per Store

Each Shopify store requires its own App installation and subscription. You may not share one installation across multiple stores.

 


 

5. Pricing and Payment

App pricing is defined on the app listing in the Shopify App Store. All prices are in US Dollars (USD) and exclude applicable taxes.

5.2 Billing

  • Billing is processed through Shopify's billing system

  • You authorize Shopify to charge your payment method on file

  • Charges occur monthly on the anniversary of your installation date

  • First charge occurs at the end of your free trial period (14 days)

5.3 Price Increases

We reserve the right to modify pricing at any time. For active subscribers:

  • We will provide 30 days advance notice of price increases

  • Notice will be sent via email and in-app notification

  • You may cancel before the increase takes effect

5.4 Grandfathered Pricing (Launch Pricing Lock)

Merchants who install during the launch pricing period will retain this rate permanently as long as:

  • Your subscription remains active (no cancellation)

  • You maintain compliance with these Terms

  • The App remains available on the Shopify App Store

This grandfathered rate is non-transferable and applies only to the original store installation.

5.5 Refunds

  • Free Trial: You may cancel during the 14-day trial with no charges

  • Paid Subscriptions: We offer no refunds but you may cancel to avoid future charges. If you are unsatisfied with the service (contact support@unitedapps.io)

  • Misuse or Violations: No refunds if subscription is terminated for Terms violations

5.6 Cancellation

You may cancel your subscription at any time by uninstalling the App from your Shopify admin. Cancellation takes effect at the end of the current billing period. You will not be charged for subsequent periods.

 


 

6. Your Responsibilities

6.1 Content You Provide

You are solely responsible for all vendor data you input into the App, including:

  • Vendor names, logos, descriptions, and contact information

  • Ensuring you have the right to use all uploaded images and content

  • Accuracy and legality of information displayed on your storefront

6.2 Prohibited Uses

You agree NOT to:

  • Upload content that infringes on intellectual property rights (copyrighted logos without permission)

  • Use the App to display false, misleading, or deceptive vendor information

  • Upload malicious code, viruses, or harmful content

  • Attempt to reverse engineer, decompile, or hack the App

  • Use the App in any way that violates Shopify's Terms or applicable laws

  • Resell, redistribute, or white-label the App without our written consent

  • Use automated scripts to spam or abuse the service

6.3 Compliance with Laws

You agree to comply with all applicable laws, including:

  • Consumer protection laws regarding product representations

  • Trademark and copyright laws for vendor logos and brand names

  • Data protection laws (GDPR, CCPA, etc.) for any customer data your store collects

  • Advertising and marketing regulations in your jurisdiction

 


 

7. Our Rights and Responsibilities

7.1 Service Availability

We strive to provide reliable service but cannot guarantee:

  • Uninterrupted or error-free operation

  • Compatibility with all Shopify themes (though we support all OS 2.0 themes)

  • Specific uptime percentages (we aim for 99.5% uptime)

7.2 Modifications to the App

We reserve the right to:

  • Add, modify, or remove features at our discretion

  • Perform maintenance that may temporarily limit functionality

  • Update the App to comply with Shopify platform changes

We will provide reasonable notice of material changes that negatively impact functionality.

7.3 Support

We provide:

  • Email support (support@unitedapps.io) with 48-hour response time on business days

  • Documentation and guides at docs.vendorenhance.app

  • Bug fixes and security patches as needed

Support does NOT include:

  • Custom development or theme customization beyond the App's standard features

  • Assistance with unrelated Shopify issues

  • On-demand video calls (may be offered for critical issues)

7.4 Data Backup

While vendor data is stored in your Shopify store's metafields, you are responsible for backing up your data. We recommend using our CSV export feature regularly. We are not liable for data loss.

 


 

8. Intellectual Property

8.1 App Ownership

The Vendor Enhance App, including all code, design, trademarks, and documentation, is owned by United Apps. These Terms grant you a limited, non-exclusive, non-transferable license to use the App for your business purposes only.

8.2 Your Content

You retain all rights to the vendor data and content you input into the App. By using the App, you grant us a limited license to:

  • Store and process your data to provide the service

  • Display your vendor information on your storefront (as directed by you)

  • Use anonymized, aggregated data for improving the App (no personally identifying information)

8.3 Feedback

If you provide feedback, suggestions, or feature requests, you grant us the right to use this feedback without compensation or attribution.

 


 

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

9.1 Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The App will meet your specific requirements

  • The App will be error-free or secure

  • Any errors will be corrected promptly

  • Data will never be lost (though we implement safeguards)

9.2 Limitation of Damages

IN NO EVENT SHALL UNITED APPS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

  • DAMAGES RESULTING FROM YOUR INABILITY TO USE THE APP

  • DAMAGES CAUSED BY THIRD-PARTY SERVICES (INCLUDING SHOPIFY)

9.3 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 USD, WHICHEVER IS GREATER).

9.4 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

 


 

10. Indemnification

You agree to indemnify, defend, and hold harmless United Apps, its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the App

  • Your violation of these Terms

  • Your violation of any rights of another party (e.g., copyright infringement from uploaded logos)

  • Content you provide or display through the App

 


 

11. Termination

11.1 By You

You may terminate your subscription at any time by uninstalling the App. Termination is effective at the end of your current billing period.

11.2 By Us

We may suspend or terminate your access to the App if:

  • You violate these Terms or our policies

  • Your payment method fails and is not updated within 7 days

  • We are required to do so by law or Shopify

  • We discontinue the App entirely (with 90 days notice)

11.3 Effect of Termination

Upon termination:

  • You lose access to the App's admin interface

  • Vendor data remains in your Shopify store as metafields (you may delete manually)

  • Theme blocks will stop functioning (remove them from your theme)

  • No refunds for the current billing period (unless within 7-day refund window)

  • We will delete operational data (store URL, logs) within 90 days

 


 

12. Data Protection and Privacy

Your use of the App is also governed by our Privacy Policy. By agreeing to these Terms, you acknowledge you have read and understood our Privacy Policy.

Key points:

  • Vendor data is stored in YOUR Shopify store's metafields (you own it)

  • We do not sell or share your data with third parties for marketing

  • You are responsible for complying with data protection laws for any customer data your store collects

  • We comply with GDPR, CCPA, and other applicable data protection regulations

 


 

13. Third-Party Services

13.1 Shopify Dependency

Vendor Enhance operates on the Shopify platform. Your use is subject to:

  • Shopify's Terms of Service

  • Shopify's Acceptable Use Policy

  • Shopify's API Terms

We are not responsible for Shopify's actions, including platform changes that may affect the App.

13.2 Theme Compatibility

While we support all Shopify OS 2.0 themes, we cannot guarantee compatibility with heavily customized or vintage themes. Customization assistance is not included in standard support.

 


 

14. Dispute Resolution

14.1 Informal Resolution

Before pursuing formal legal action, you agree to contact us at legal@unitedapps.io to attempt to resolve the dispute informally. We will respond within 10 business days.

14.2 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

14.4 Jurisdiction

If arbitration does not apply, you agree that any legal action must be brought in the courts of [INSERT JURISDICTION], and you consent to exclusive jurisdiction there.

 


 

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and United Apps regarding the App. They supersede any prior agreements or communications.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.

15.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later or other provisions.

15.4 Assignment

You may not assign or transfer these Terms or your subscription without our written consent. We may assign our rights and obligations to a successor entity (e.g., in case of acquisition).

15.5 Force Majeure

We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control (e.g., natural disasters, war, internet outages, Shopify platform issues).

15.6 Notices

Notices to you will be sent to the email address associated with your Shopify store. Notices to us should be sent to legal@unitedapps.io.

15.7 Survival

Provisions that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution) will continue after termination.

 


 

16. Changes to These Terms

We may update these Terms from time to time. Changes will be effective:

  • Immediately for new users (upon installation)

  • 30 days after notice for existing users

We will notify you of material changes by:

  • Email to your registered address

  • In-app notification

  • Posting a notice on unitedapps.io/vendor-enhance/terms

Continued use of the App after changes constitutes acceptance. If you do not agree to modified Terms, you must uninstall the App before changes take effect.

PRIVACY POLICY

 

 

1. Introduction

United Apps ("we," "our," or "us") operates the Vendor Enhance application (the "App"). This Privacy Policy explains how we collect, use, and protect information when you use our App on the Shopify platform.

We are committed to protecting your privacy and ensuring transparency about our data practices. This policy applies to all merchants who install and use Vendor Enhance.

 


 

2. Information We Collect

2.1 Information You Provide

When you install and use Vendor Enhance, we collect and store:

  • Store Information: Your Shopify store URL, store owner name, email address, and timezone

  • Vendor Data: Vendor names, logos (images), descriptions, website URLs, contact information, certifications, country of origin, shipping times, and any custom fields you create

  • Product Data: Product titles, vendor assignments, and product IDs (to associate vendors with products)

  • Usage Data: Information about how you interact with the App (features used, settings configured)

2.2 Information Collected Automatically

  • Technical Data: IP address, browser type, device information, and timestamps of App interactions

  • API Interactions: Logs of API calls between our App and your Shopify store (for debugging and support purposes)

2.3 Information We Do NOT Collect

  • Customer personal data (names, addresses, emails of your store's customers)

  • Payment information or credit card details (handled entirely by Shopify)

  • Order details or transaction history (unless you explicitly request support related to vendor-specific orders)

  • Product inventory or pricing data beyond what's necessary for vendor associations

 


 

3. How We Use Your Information

We use the information we collect to:

  • Provide the Service: Enable vendor management, display vendor information on your storefront, and preserve vendor data

  • Improve the App: Analyze usage patterns to enhance features and fix bugs

  • Provide Support: Respond to your inquiries and troubleshoot issues

  • Communicate: Send important service updates, security alerts, and (with your consent) promotional information about new features

  • Comply with Legal Obligations: Respond to legal requests and prevent fraud

We will NEVER:

  • Sell your data to third parties

  • Use your vendor data for our own marketing purposes

  • Share your information with competitors

  • Display your vendor data on any platform other than your own Shopify store

 


 

4. Data Storage and Location

4.1 Where Your Data is Stored

All vendor data you create through Vendor Enhance is stored as metafields directly in your Shopify store. This means:

  • You retain full ownership of your data

  • Your data remains within Shopify's infrastructure (subject to Shopify's own privacy policies)

  • If you uninstall the App, your vendor data remains in your Shopify store as metafields (you can delete it manually or we can assist)

4.2 Data We Store Separately

We maintain minimal operational data on secure servers located in [INSERT REGION - e.g., "United States (AWS US-East)"]:

  • Your store URL and installation date (for billing and authentication)

  • Error logs and diagnostic information (retained for 90 days)

  • Support tickets and communications (retained for 2 years)

 


 

5. Data Sharing and Third Parties

5.1 Service Providers

We share limited data with trusted service providers who help us operate the App:

All service providers are contractually required to protect your data and use it only for specified purposes.

5.2 Legal Requirements

We may disclose your information if required by law, court order, or governmental regulation, or if we believe disclosure is necessary to:

  • Comply with legal processes

  • Enforce our Terms of Service

  • Protect the rights, property, or safety of United Apps, our users, or the public

5.3 Business Transfers

If United Apps is acquired or merges with another company, your information may be transferred to the new owner. We will notify you via email before any such transfer and your rights under this Privacy Policy will continue.

 


 

6. Data Retention

  • Active Use: While the App is installed, we retain data as necessary to provide the service

  • After Uninstall:

    • Vendor metafield data remains in your Shopify store (your responsibility to delete)

    • We delete operational data (store URL, installation date) after 90 days

    • Support history retained for 2 years for reference purposes

  • At Your Request: You may request deletion of all data we hold by emailing support@unitedapps.io

 


 

7. Your Rights (GDPR & Data Protection)

If you are located in the European Economic Area (EEA), UK, or regions with similar data protection laws, you have the following rights:

  • Access: Request a copy of all data we hold about you

  • Correction: Request corrections to inaccurate data

  • Deletion: Request deletion of your data (subject to legal retention requirements)

  • Portability: Request your data in a machine-readable format

  • Objection: Object to certain processing activities

  • Restriction: Request limitation of processing in specific circumstances

  • Withdraw Consent: Withdraw consent for optional data processing (e.g., marketing emails)

To exercise these rights, email privacy@unitedapps.io with your store URL. We will respond within 30 days.

California Residents (CCPA): You have additional rights under the California Consumer Privacy Act. Contact us for details.

 


 

8. Security Measures

We implement industry-standard security practices to protect your data:

  • Encryption: All data transmitted between your store and our App uses TLS/SSL encryption

  • Authentication: Secure OAuth 2.0 protocol for Shopify API access

  • Access Controls: Only authorized personnel can access operational data (on a need-to-know basis)

  • Regular Audits: Security reviews and vulnerability scanning

  • No Password Storage: We never store your Shopify credentials

However, no method of transmission over the internet is 100% secure. While we strive to protect your data, we cannot guarantee absolute security.

 


 

9. Children's Privacy

Vendor Enhance is intended for use by businesses and merchants. We do not knowingly collect information from children under 13 (or 16 in the EEA). If you believe we have inadvertently collected such data, contact us immediately for deletion.

 


 

10. International Data Transfers

If you are located outside the United Kingdom, your data may be transferred to and processed in the United Kingdom where United Apps operates. We ensure appropriate safeguards are in place, including:

  • Standard Contractual Clauses (SCCs) for EEA transfers

  • Compliance with Privacy Shield principles (if applicable)

  • Adherence to GDPR requirements for international transfers

 


 

11. Cookies and Tracking

Vendor Enhance does not use cookies for tracking purposes. Shopify's admin interface may use cookies for authentication and session management (controlled by Shopify's policies, not ours).

If we introduce analytics or tracking in the future, we will update this policy and seek your consent where required.

 


 

12. Changes to This Privacy Policy

We may update this Privacy Policy periodically to reflect changes in our practices or legal requirements. We will notify you of material changes by:

  • Posting a notice in the App admin interface

  • Sending an email to your registered address

  • Updating the "Last Updated" date at the top of this policy

Continued use of the App after changes constitutes acceptance of the updated policy.
