United Apps Terms and Conditions
1. Definitions
In this document:

“We”, “us”, “our” refers to 3APM Ltd trading as ‘United Apps’. Registered Office: 8 Bradfield Close, Warminster, Wiltshire. BA12 9JT. Registered in England and Wales. Company no. 11536092, the service provider.

“You”, “your”, “client” refers to the person or business purchasing the service.

“Agreement” means these Terms & Conditions as referred to in a client order, proposal, or purchase confirmation.

“Service Package” refers to any specific service described in the Appendix to this Agreement.
-
“Platform” refers to any third-party software (e.g. Shopify) upon which the service is implemented.
-
“Deliverables” refers to the work we agree to provide under the Service Package.
2. General Terms of Service
2.1 Acceptance & Scope
By placing an order (including via email confirmation, signed proposal, sales order, or online checkout), you agree to these Terms & Conditions.
The specific deliverables, exclusions, and scope are described in the relevant Service Package in the Appendix.
Unless stated otherwise, these Terms apply to all services delivered by us, regardless of method or channel of purchase.
2.2 Client Responsibilities
To enable timely and successful delivery, you agree to:

Supply all content (e.g. text, images, branding) in advance

Provide prompt feedback during review stages

Purchase any required third-party services (e.g. Shopify plan, domain, apps)
We are not liable for project delays or additional costs caused by delays in receiving content or feedback.
2.3 Payment Terms

Payment is due as outlined in your order or proposal (typically 50% upfront, 50% upon completion).

All prices include VAT where applicable unless stated otherwise.

Work may be paused or withheld if payment terms are not met.

Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
2.4 Revisions
Each package includes up to 2 rounds of revisions, unless otherwise specified.
Additional revisions will be quoted separately at our standard hourly or fixed rates.
2.5 Intellectual Property

You own all deliverables once full payment is received.

You confirm that any content you provide is owned or licensed by you.

We may showcase completed work in our portfolio unless you request otherwise in writing.
2.6 Cancellations & Termination

You may cancel before work begins for a full refund.

If cancelled after work has started, the initial payment is non-refundable.

We reserve the right to cancel if you are unresponsive for 21+ days or fail to meet agreed responsibilities.

Additional time worked beyond the deposit may be invoiced on a pro-rata basis.
2.7 Limitation of Liability
To the fullest extent permitted by UK law:

We are not liable for indirect, incidental, or consequential damages

Our liability is limited to the amount paid for the relevant Service Package

We are not responsible for third-party platforms, outages, policy changes, or future platform limitations
2.8 Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
3. Platform Disclaimer
Our services are built on third-party platforms (e.g. Shopify).
We do not own or control these platforms and cannot be held responsible for:

Feature availability, limitations, pricing changes or platform downtime

Security, compliance, or performance of the platform itself
By proceeding, you confirm that:

You have reviewed the platform and accept it suits your business needs

You are responsible for your subscription, licensing, and compliance with the platform’s terms

Any future changes to the platform are outside the scope of this Agreement unless separately agreed
4. Appendix: Service Package Variations
Each Service Package below is subject to the General Terms of Service above.
4.1 Starter Website Build – Shopify (Non-Ecommerce)
Description
A fixed-price website setup using Shopify’s free theme framework, suitable for service-based businesses that do not require ecommerce.
4.1.1 What’s Included

Shopify theme installation and branding (free theme only)

Header/footer navigation setup
-
Up to 6 content pages: Home, About, Services, Contact, Privacy/Terms, FAQ or Gallery

Basic homepage layout with hero section, 2–3 content blocks, CTA
-
Integration of client-supplied copy and images (up to 12 content blocks)
-
Contact form, mobile responsiveness, cookie banner (if required)
-
SEO-ready structure (headings, meta titles and descriptions)
4.1.2 Not Included

Product catalogue, cart or checkout setup
-
Paid themes or custom development
-
Third-party app integrations
-
Copywriting, stock image sourcing or custom design
-
Content upload beyond the specified limit
-
Content generation or editing
4.1.3 Timeline & Revisions

Approximate duration: 3 weeks from receipt of complete content

Includes up to 2 rounds of revision
4.1.4 Price & Payment

Price as per order (excluding or including VAT as stated)

50% deposit payable upfront; balance upon completion
4.1.5 Cancellation
Once you place an order for a theme build and work has begun, the project is considered fully committed, and cancellations or refunds are not possible at that stage.
4.2 Website Support Plan
4.2.1 Overview
The Website Support Plan is an optional service offering ongoing, flexible support for your Shopify site. It is available to:
- Clients who have completed a website build with United Apps, or
- New clients seeking support for an existing Shopify store
The plan is designed to reduce stress, prevent bottlenecks, and keep your website running smoothly, without locking you into unnecessary extras.
4.2.2 What’s Included
The monthly subscription includes:
- Priority access to support via email
- Minor content updates (e.g. copy tweaks, image swaps, link changes)
- Up to two hours of support time per month (see 4.2.4)
- Quarterly virtual check-ins to review performance or discuss improvements
- Optional monthly Google Analytics report on request
- Friendly, expert answers to common “Can you just…” questions
4.2.3 Exclusions
This plan is intended for minor updates and light-touch support. It does not include:
- Structural changes or new pages
- Major design revisions or theme customisations
- Third-party app research, troubleshooting, or integrations
- SEO projects, content strategy, or development work
- Emergency response outside of working hours (unless separately agreed)
Any work outside the above will be quoted separately or referred to a broader support agreement if one is in place.
4.2.4 Usage & Fair Use Policy
The Website Support Plan is based on a fair use principle:
- You may request support tasks at any time, and we will respond within a reasonable timeframe (typically 1–2 working days).
- Time is capped at two hours per month, which is non-cumulative – unused time does not roll over.
- We aim to be flexible and generous where appropriate, but if support requests become excessive or beyond the spirit of the plan, we may recommend upgrading to a custom support agreement.
4.2.5 Term, Payment & Renewal
- The Support Plan operates on a 12-month agreement, billed monthly by subscription.
- The plan auto-renews on the anniversary unless cancelled with 30 days’ notice prior to renewal.
- Payment must be maintained via active subscription. Late or failed payments may result in suspension of support services.
4.2.6 Cancellation

The Website Support Plan requires a 12-month minimum commitment. By signing up, you agree to maintain the subscription for the full term.

Early cancellation is not permitted once the plan is active. The full 12-month period is chargeable, regardless of usage.

The plan will auto-renew on the anniversary of the start date. If you do not wish to renew for a further 12-month period, you must provide at least 30 days’ written notice prior to the renewal date.

No refunds will be provided for unused support time, missed check-ins, or partial months within the term.
4.2.7 Hosting and Platform Fees
This plan includes our time and expertise only. All platform-related costs remain your responsibility, including:
- Shopify plan and hosting fees
- Domain registration or renewal
- Paid third-party apps or integrations
4.3 Google Analytics (GA) Administration Service
4.3.1 Overview
The Google Analytics (GA) Administration Service is an optional, separately billed service designed to provide clients with access to GA data for their website in a fully managed setup. This service covers the administration of the GA account connection to the client’s Shopify website and ongoing user access management.
4.3.2 Service Scope
Where this service is purchased, we will:

Create a GA property under our United Apps GA account, linked to the client’s Shopify website.

Configure the property using industry-standard settings appropriate for the client’s business type.
-
Provide the client with read-only user access (via email address supplied by the client) to view GA data.
-
Manage and maintain the GA account connection to the website.
-
Apply the correct tracking integration to the Shopify website.
Additional users can be granted access for an additional monthly fee, subject to agreement.
4.3.3 Client-Owned GA Properties
If the client already maintains their own GA property and prefers to use it, they must supply their GA Measurement ID (G-XXXXXXXXXX) or equivalent property identifier.

In this case, we will implement the provided GA property onto the Shopify website as instructed.

We will not manage or maintain client-owned GA accounts or settings.
-
Responsibility for configuration, data accuracy and maintenance of client-owned GA accounts rests solely with the client.
4.3.4 Limitations and Exclusions

We are not responsible for the operation, performance, outages, data loss or any other issues related to Google Analytics as a third-party service.

Our fee covers administrative setup, integration, and access management only.
-
Data analysis, reporting, or interpretation services are not included unless separately agreed and quoted.
4.3.5 Continuation and Termination

If the client terminates their website service or Aftercare Plan but wishes to continue using the GA Administration Service, they may do so by continuing to pay the monthly fee.

If payment lapses, we reserve the right to revoke access and disconnect the GA service after 30 days of non-payment.

Upon termination, access to the GA property will be removed, and no further data will be collected.

The GA property will remain the property of United Apps, as it is hosted under our master account.
4.3.6 Client Responsibilities

Provide a valid email address for GA access.

Notify us of any changes to their Shopify website which may affect tracking or integration.

Understand and accept that Google may change or update GA features, limitations or service terms at any time - such changes are beyond our control.
4.4 Pricing Review & Rate Adjustments
We reserve the right to review and adjust our service rates from time to time to reflect changes in market conditions, operating costs, or the scope of services offered.
Any changes to recurring fees (including support plans or subscription-based services) will be communicated with a minimum of 30 days’ notice before taking effect.
One-off project fees agreed in advance will remain fixed for the duration of that project unless the scope is materially changed and re-scoped by mutual agreement.
We are committed to fair and transparent pricing. Our goal is always to ensure our rates reflect the value delivered while remaining competitive and sustainable.
